1. Agreement

This End User License Agreement (“EULA”) is a legal agreement between you (“User”) and DIGITALIS LLC (“Licensor”) for the use of ¡Vamos! Learn (“the App”). By installing or using the App, you agree to the terms of this EULA. If you do not agree, do not install or use the App.

This EULA supplements Apple’s Standard End User License Agreement, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. In the event of a conflict between this EULA and Apple’s Standard EULA, Apple’s Standard EULA shall prevail.

2. License Grant

Subject to the terms of this EULA, DIGITALIS LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any Apple-branded device that you own or control, as permitted by the App Store Terms of Service.

3. License Restrictions

You may not:

• Copy, modify, or distribute the App or any portion of it.
• Reverse engineer, disassemble, decompile, or attempt to derive the source code of the App.
• Rent, lease, lend, sell, sublicense, or otherwise transfer the App or any rights therein to any third party.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the App.
• Use the App for any purpose that is unlawful or prohibited by this EULA.

4. Subscription Services

The App offers optional auto-renewable subscription plans that unlock premium features:

• Monthly Plan: $4.99 per month
• Annual Plan: $29.99 per year

Subscriptions are managed and billed by Apple through your Apple ID. Payment is charged at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. You may manage or cancel subscriptions in your Apple ID Account Settings. No refunds will be provided for the unused portion of any subscription term.

5. Intellectual Property

The App and all content therein — including but not limited to text, graphics, images, audio, lesson content, software code, and user interface design — are owned by DIGITALIS LLC and are protected by copyright, trademark, and other intellectual property laws. This EULA does not grant you any rights to DIGITALIS LLC’s trademarks, trade names, or service marks.

6. Privacy

Your privacy is important to us. Please review our Privacy Policy for information on how we handle data. In summary: your learning data stays on your device, we do not collect personal information, and we do not use tracking or advertising SDKs.

7. Third-Party Services

The App is distributed through Apple’s App Store and utilizes Apple frameworks (StoreKit, Speech, Core ML, AVFoundation). Your use of these services is subject to Apple’s terms and conditions. DIGITALIS LLC is not responsible for third-party services.

8. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGITALIS LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DIGITALIS LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIGITALIS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

10. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies from your devices. Sections 5, 8, 9, and 11 shall survive termination.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be resolved in the courts of the State of Texas.
